It applies to common contract types such as SaaS agreements, NDAs, MSAs, employment, vendor, and consulting agreements, assessing risk from the perspective of the user’s role (e.g., provider, customer, employee). The process parses the contract, identifies parties, pulls out core terms (e.g., liability caps, indemnities, IP ownership, auto-renewal, termination, governing law, and payment terms), and compares clauses against market-standard patterns listed in an appendix. Flagged clauses are labeled with Critical, High, Medium, or Low risk, each with a concrete recommendation, and are rolled up into an overall Low/Medium/High risk rating plus a short executive summary for non-lawyers and lawyers alike. The SOP also includes validation requirements (e.g., real section references, actionable recommendations, handling contract-type mismatches) and guidance for edge cases such as scanned PDFs, amendments, multi-party deals, and non-English contracts.
